These Terms of Use govern your access to and use of the Hedge Scout website located at www.hedgescout.com (the "Site") and are a binding legal agreement between you and Hedge Scout LLC ("Hedge Scout," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms of Use. If you do not agree, do not use the Site.

Subscribers to Hedge Scout's Research Products are additionally governed by the Hedge Scout Subscription Agreement, available at www.hedgescout.com/subscription-agreement, which controls in the event of any conflict with these Terms of Use with respect to subscription services.


1. License to Use the Site

These Terms of Use provide you with a personal, revocable, non-exclusive, non-transferable license to use the Site solely for your lawful personal or internal business purposes in connection with your authorized access to the Site, conditioned on your continued compliance with these Terms of Use.

You may not obscure, alter, remove, or delete any copyright or other proprietary notices or disclosures contained in any materials on the Site. Except as expressly permitted herein, you may not modify, create derivatives of, copy, distribute, repackage, redistribute, disseminate, broadcast, transmit, reproduce, publish, license, transfer, sell or re-sell, mirror, frame, "deep link," scrape, data mine, or otherwise use or store for subsequent use any information or materials obtained from or through this Site without Hedge Scout's prior written consent.

You may not post any materials from this Site to forums, newsgroups, listservs, mailing lists, electronic bulletin boards, or other websites without the prior written consent of Hedge Scout.

You covenant and warrant to Hedge Scout that you will not use this Site for any unlawful purpose or in any manner prohibited by these Terms of Use, including but not limited to:

  • Attempting or actually disrupting, impairing, or interfering with the Site
  • Collecting any information about other users of the Site, including access tokens, accounts, or other personal information

All materials contained on or accessible from the Site, unless otherwise indicated, are protected by applicable law, including United States copyright, trade secret, and trademark law, as well as other state, national, and international laws and regulations. The Site, its materials, layout, and design are the exclusive property of Hedge Scout LLC or its licensors. Except as expressly provided herein, Hedge Scout does not grant any express or implied rights in any such materials.

Notwithstanding anything to the contrary in these Terms of Use, you may not use scraping tools or other automated means to copy or extract any materials contained on this Site for any purpose. Hedge Scout owns the copyright in the Site as a collective work and/or compilation, any and all databases accessible on the Site, and in the selection, coordination, arrangement, and enhancement of the materials on the Site.

"Hedge Scout" and "Hedge Scout LLC" and all names, logos, and icons identifying Hedge Scout and its products and services are proprietary marks of Hedge Scout LLC or its licensors. Third-party trademarks displayed on the Site are the property of their respective owners.


3. Qualified and/or Professional Investors — Access to Research Products

(a) General Visitors. These Terms of Use apply to all visitors to the Site. Access to the public-facing portions of the Site — including marketing pages, general information about Hedge Scout and its Research Products, and contact or inquiry forms — does not require accredited investor status and does not constitute a solicitation or offer to sell any securities or investment products.

(b) Demo Requests and Members Section. If you request a product demonstration, a trial subscription, or access to any gated portion of the Site (the "Members Section"), you represent, warrant, and certify, by submitting your request or accessing such content, that you are:

an accredited investor as defined under Rule 501(a) of the U.S. Securities Act of 1933; or

a professional client as defined under MiFID II (Directive 2014/65/EU); or

a qualified investor as otherwise defined under the applicable laws of your jurisdiction.

You are responsible for determining your eligibility before requesting a demo or accessing the Members Section. Hedge Scout relies on this self-certification in granting such access, and any misrepresentation constitutes a material breach of these Terms.

(c) Service Providers and Professional Counterparties. Entities accessing the Site in their ordinary course of business — including technology vendors, legal counsel, auditors, journalists, regulators, and other professional service providers — are not required to certify accredited investor status solely by virtue of visiting the Site. Such entities access the Site in a professional, non-investor capacity and do not receive access to gated Research Products under these Terms. Access to Research Products is governed exclusively by the Hedge Scout Subscription Agreement.

(d) No Solicitation. Nothing on the public-facing portions of the Site constitutes an offer or solicitation to purchase securities, investment products, or interests in any fund. Hedge Scout does not direct its Research Products to the general public, and no representation of accredited investor status is required or implied from general Site use.


4. Privacy Policy

Please see Hedge Scout's Privacy Policy, available at https://www.hedgescout.com/privacy-policy/, for a full explanation of Hedge Scout's personal data collection, processing, and use practices with respect to the Site and its services. Our Cookie Policy is available at https://www.hedgescout.com/cookie-policy.


5. Access Token Policy

Your use of certain portions of the Site requires an access token provided via an email link. As part of the registration process, you must provide Hedge Scout with accurate, complete, and up-to-date information, including a valid email address. The access token sent to your email allows you to gain entry to restricted portions of the Site and the information available to you. You must keep your access token secure and not share it with others.

By agreeing to these Terms of Use, you agree to be solely responsible for the confidentiality and use of your access token and for any communications entered through this Site using your access token. You will immediately notify Hedge Scout if you become aware of any loss, theft, or unauthorized use of your access token. Hedge Scout reserves the right to invalidate or change access tokens without notice at any time and for any reason.


6. Assumption of Risk

You use the Internet solely at your own risk and subject to all applicable local, state, national, and international laws and regulations. While Hedge Scout has endeavored to create a secure and reliable Site, the confidentiality of any communication or material transmitted to or from this Site over the Internet cannot be guaranteed. Accordingly, Hedge Scout and its licensors and suppliers are not responsible for the security of any information transmitted via the Internet, the accuracy of the information contained on the Site, or the consequences of any reliance on such information. Hedge Scout and its licensors and suppliers shall have no liability for interruptions or omissions in Internet, network, or hosting services. You assume the sole and complete risk of using the Site.


7. Enforcing Security

Actual or attempted unauthorized use of the Site may result in criminal and/or civil prosecution. To maintain the security and integrity of the Site, Hedge Scout reserves the right to review and record activity on the Site to the extent permitted by applicable law and consistent with the Hedge Scout Privacy Policy and Cookie Policy. Monitoring activities may include the use of third-party tracking technologies to detect unauthorized dissemination, reproduction, or automated access to Site content, as further described in Section 14 below. Any information obtained by such monitoring is subject to review by law enforcement organizations in connection with the investigation or prosecution of possible criminal activity. Hedge Scout will comply with all court orders involving requests for such information.


Hedge Scout may provide links, in its sole discretion, to other websites on the World Wide Web for your convenience in locating related information and services. These websites have not necessarily been reviewed by Hedge Scout and are maintained by third parties over which Hedge Scout exercises no control. Accordingly, Hedge Scout and its directors, officers, employees, agents, representatives, licensors, and suppliers (together, the "Hedge Scout Parties") expressly disclaim any responsibility for these third-party websites, including, without limitation, for their content, the accuracy of their information, and the quality of products or services provided by or advertised on them. These links do not imply an endorsement of any third party, website, or the products or services of any third party.


9. Events Beyond Hedge Scout's Control

You expressly absolve and release Hedge Scout and its licensors and suppliers from any claim of harm resulting from a cause beyond their reasonable control, including but not limited to the failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, internet failure, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes, natural disasters, pandemics, strikes or other labor problems, wars, terrorism, or governmental restrictions.


10. Disclaimers

The information provided by Hedge Scout is not intended as investment advice. Hedge Scout's website, products, or services should not under any circumstances be considered as investment advice, nor as an attempt to promote, offer to sell, or solicit an offer to buy any of the investments discussed, nor to make any investment decision. Hedge Scout does not guarantee and takes no responsibility for the accuracy of any information, data, or statistics it provides.

Hedge Scout products and services contain information concerning financial services, investment products, and funds incorporated and registered in different jurisdictions. Investment fund prices can go down as well as up. Shares in the investment funds mentioned may not be eligible or suitable for sale in some jurisdictions and are not offered to members of the general public in the United States. Access to this information may be restricted by laws and regulations applicable to you, especially the law of the country where Hedge Scout products or services are accessed. It is your responsibility to be informed of and to observe all applicable laws and regulations of any relevant jurisdiction.

Any information provided by Hedge Scout does not constitute an offer or solicitation to buy or sell any security or fund in any jurisdiction, nor should it be regarded as a contractual document. Under no circumstances should information provided by Hedge Scout — including communications, products, or services — be considered investment advice or a sufficient basis on which to make investment decisions.

Hedge Scout authorizes each authorized Subscriber to view, download, or print information created by Hedge Scout for internal business purposes only in accordance with their Subscription Agreement. Any dissemination in any manner, commercial or otherwise, is expressly prohibited except as permitted in the applicable Subscription Agreement.

Past performance is no guarantee of future results.


11. Limitation of Liability

To the fullest extent permitted by applicable law, Hedge Scout's total aggregate liability to you for any claims arising out of or related to your use of the Site or these Terms of Use — whether in contract, tort (including negligence), or otherwise — shall not exceed one thousand U.S. dollars (USD 1,000). In no event shall Hedge Scout be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Site, even if Hedge Scout has been advised of the possibility of such damages.

Nothing in these Terms of Use limits Hedge Scout's liability for fraud, gross negligence, or any other liability that cannot be excluded or limited under applicable law.

Subscribers to Hedge Scout's Research Products are subject to the liability cap set forth in the Subscription Agreement, which governs in the event of any conflict with this section.


12. Reservation of Rights

Any rights not expressly granted herein are reserved.

Hedge Scout does not act on the initiative of or on behalf of the Alternative Investment Fund Managers to which the information Hedge Scout produces, publishes, or distributes relates. Hedge Scout produces products and services relating to hedge funds, digital asset investment strategies, and managed futures investment programs. Hedge Scout and its employees are not making offers and do not communicate information that can be construed as an offer capable of acceptance. Hedge Scout publishes information relating to investment funds and does not give investment advice to Subscribers. You acknowledge that you are viewing the contents received from Hedge Scout on your own initiative.


13. Data or Information Submissions

Hedge Scout welcomes feedback and suggestions about how to improve its products or services. Any ideas, suggestions, information, know-how, material, or other content (collectively, "Submitted Content") received through the Site or any Hedge Scout-affiliated channel will be deemed to include a royalty-free, perpetual, irrevocable, nonexclusive right and license for Hedge Scout to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, and display such Submitted Content (in whole or in part) worldwide, in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content. You hereby waive any claim to the contrary.


14. Confidentiality Obligations

You may receive or have access to certain information belonging to Hedge Scout or third parties that is proprietary and confidential ("Confidential Information"). Confidential Information includes, but is not limited to, fund performance data, fund terms, contact information, investment strategy details, personnel information, assets under management, market commentary, and other business affairs of Hedge Scout or related third parties.

You shall use reasonable efforts to maintain the confidentiality of all Confidential Information — and no less effort than you use to protect your own proprietary information — and shall not disclose Confidential Information to any person other than an employee within the recipient or customer group designated by you. You agree not to use, sell, market, publicize, or disclose any Confidential Information to any third person, firm, corporation, or association for any purpose, and agree not to make unauthorized copies of any Confidential Information.

Subscribers to Hedge Scout's Research Products are additionally subject to the confidentiality obligations in Section 8 of the Subscription Agreement, which governs in the event of any conflict with this section. These obligations survive the termination or expiration of your access to the Site or any subscription.


15. Third-Party Tracking and Anti-Scraping Technologies

Hedge Scout may, at its sole discretion, utilize third-party or proprietary tracking technologies to monitor for unauthorized dissemination, modification, or reproduction of any Hedge Scout product or service by users who are not authorized Subscribers. Hedge Scout also reserves the right to employ tools and technologies to detect and prevent unauthorized automated access to, or scraping of, Site content.

Such monitoring activities are carried out in accordance with Hedge Scout's Privacy Policy at https://www.hedgescout.com/privacy-policy/ and Cookie Policy at https://www.hedgescout.com/cookie-policy, and constitute a legitimate interest of Hedge Scout in protecting its intellectual property and proprietary research content.


16. Indemnification

You agree to defend, indemnify, and hold harmless Hedge Scout, its affiliates, employees, contractors, officers, and directors, and any third-party providers, from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from your use or misuse of this Site, your breach of these Terms of Use, or your breach of any third-party rights. Hedge Scout reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Hedge Scout in asserting any available defenses.


17. Governing Law and Dispute Resolution

These Terms of Use and all matters arising directly or indirectly from your access to or use of this Site shall be governed by the laws of the State of Connecticut, without regard to its conflict of laws principles.

For general website users who are not subscribers to Hedge Scout's Research Products, any legal action or proceeding relating to these Terms of Use shall be instituted in a state or federal court in Connecticut, and you and Hedge Scout agree to submit to the jurisdiction of, and agree that venue is proper in, those courts.

For Subscribers to Hedge Scout's Research Products, disputes shall be resolved in accordance with the dispute resolution and arbitration provisions of the Subscription Agreement, which govern in the event of any conflict with the foregoing.


18. Waiver and Severability

The waiver by either party of any breach or default of these Terms of Use will not be deemed to be a waiver of any preceding or subsequent breach or default. If any provision of these Terms of Use is held to be invalid or unenforceable, it will not affect the validity or enforceability of the remaining provisions.


19. Admissibility

A printed version of this agreement and of any related notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.


20. Termination

Hedge Scout may, in its sole discretion, terminate or suspend your access to all or part of the Site for any reason, including without limitation breach of these Terms of Use. Upon termination, the restrictions regarding Site materials and the representations, warranties, indemnities, confidentiality obligations, and limitations of liability set forth in these Terms of Use will survive. If you are dissatisfied with the Site or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the Site.


21. Entire Agreement

These Terms of Use constitute the entire agreement between you and Hedge Scout regarding your general use of the Site and supersede all prior agreements relating to the subject matter hereof. Subscribers to Hedge Scout's Research Products are additionally governed by the Subscription Agreement, which controls in the event of any conflict with these Terms of Use with respect to subscription services.
